These Terms and Conditions (“Terms”) govern your access to and use of the websites, applications, platforms, products, services, software, artificial intelligence tools, public relations services, media relations services, content creation services, Alpha Echo services, payment pages, communications, and related services provided by Alpha Story / Alpha Echo (“Alpha Story,” “Alpha Echo,” “Company,” “Provider,” “we,” “us,” or “our”) in Indonesia.

These Terms apply to the person or entity using or purchasing the services (“Client,” “User,” “you,” or “your”).

By accessing our website, using our platform, using Alpha Echo, signing or accepting a proposal, paying an invoice, making payment through Stripe or another payment platform, checking an acceptance box, or otherwise using our services, you agree to be bound by these Terms.

If you use the services on behalf of a company, organization, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms.

1. Overview of Services

Alpha Story is a public relations, media relations, communications, and technology platform that may use artificial intelligence, automation, consultants, journalists, editors, contractors, and partners to assist clients with public relations and communications activities.

Alpha Story services may include PR strategy, press release drafting, media pitch drafting, byline drafting, story angle development, media list development, media outreach, interview facilitation, media monitoring, reporting, social media content generation, and related services.

Alpha Echo is a technology and AI-enabled service that may assist users with communications, content, research, workflows, automation, drafting, analysis, recommendations, or other features described on our website, proposal, order form, or documentation.

The exact scope, deliverables, campaign duration, subscription plan, feature access, pricing, and payment terms will be set out in the applicable proposal, quotation, Stripe payment link, invoice, order form, website plan, statement of work, or written agreement.

2. Electronic Acceptance

You agree that acceptance by electronic means, including checking a box, clicking an acceptance button, making payment through a payment link, signing electronically, sending written confirmation, or using the services, constitutes valid acceptance of these Terms to the fullest extent permitted by applicable law.

You agree that electronic records, electronic communications, electronic signatures, payment records, platform logs, and system records may be used as evidence of your acceptance, instructions, approvals, and use of the services.

3. Eligibility

You may use the services only if you are legally capable of entering into a binding agreement under applicable law.

If you are using the services on behalf of an entity, you represent that you are authorized to act for that entity.

4. Appointment and Service Term

Where you engage Alpha Story for PR or campaign services, you appoint Alpha Story to provide the services described in the applicable plan, proposal, quotation, order form, invoice, or written agreement.

Unless otherwise stated, the service term begins on the date of payment, acceptance of the proposal, or commencement of work, whichever occurs first.

Payment in full or payment of the applicable first invoice may be required before we begin work.

If more time is required to complete a campaign due to media timelines, client delays, journalist availability, publication schedules, external stakeholder delays, or other factors outside our reasonable control, we may extend the campaign timeline at our discretion without additional fees, unless otherwise agreed.

If a campaign extends significantly because of client delay, non-responsiveness, unavailability, late approvals, or external stakeholder delay, we may suspend, revise, or terminate the campaign in accordance with these Terms.

5. Campaign Pause

Unless otherwise agreed in writing, a Client may request to pause a PR campaign once, for a period of up to two months, by giving at least two weeks’ written notice and settling all outstanding invoices or prepaying the next applicable invoice as a commitment to continuing the campaign.

A campaign pause takes effect only after we confirm it in writing.

The campaign timeline will be revised to reflect the pause. Upon resumption, Alpha Story may assign any consultant, strategist, writer, or team member to the campaign at its discretion.

6. Client Responsibilities

You agree to:

provide all information, materials, approvals, access, assistance, and feedback reasonably requested by Alpha Story in a timely manner;

ensure that all information provided to Alpha Story is accurate, complete, lawful, not misleading, and not defamatory;

ensure that you have the rights, permissions, licenses, consents, and legal bases required to provide all materials and Personal Data to Alpha Story;

appoint a responsive representative or spokesperson for the campaign;

review and approve materials in a timely manner;

notify Alpha Story of any media inquiries, journalist responses, interview requests, publication updates, or campaign-related communications that you receive;

not materially discuss or pursue the same campaign with media representatives independently without notifying Alpha Story where such conduct may affect the campaign;

not submit unlawful, infringing, confidential, sensitive, misleading, defamatory, abusive, discriminatory, obscene, or otherwise inappropriate materials;

not use our services to mislead journalists, regulators, consumers, investors, or the public;

comply with all applicable laws, including advertising, consumer protection, privacy, intellectual property, anti-bribery, media, and electronic transaction laws; and

treat Alpha Story personnel, consultants, contractors, partners, and media contacts professionally and respectfully.

7. Media Relations and Publication Outcomes

You acknowledge that media relations involve independent third parties, including journalists, editors, publishers, creators, and media organizations.

Except where a specific guarantee is expressly stated in your selected plan or written agreement, Alpha Story does not guarantee publication, timing of publication, placement, headline, editorial angle, article length, sentiment, search ranking, social reach, traffic, audience reaction, lead generation, sales, investment, or commercial results.

Where a plan includes a minimum media feature guarantee, Alpha Story’s obligation will be satisfied when the number of qualifying published media features equals or exceeds the minimum stated in the relevant plan.

A “media feature” may include a single instance of published content in a print, digital, broadcast, audio, video, podcast, newsletter, blog, social media, or other media platform, including compilation stories, brand mentions, interviews, quotes, contributed content, or other reasonably verifiable public coverage.

If Alpha Story secures a reasonable media opportunity and you decline, ignore, delay, fail to attend, fail to respond, refuse to provide information, or otherwise fail to participate in that opportunity, the opportunity may be counted as a secured media opportunity and may satisfy Alpha Story’s relevant obligation.

Alpha Story is not responsible for editorial decisions, publication delays, edits, removals, corrections, headlines, third-party comments, syndication, indexing, or decisions made by media organizations.

8. PR Stories, Drafts, and Revisions

Where a plan includes PR stories, press releases, pitches, bylines, or other content pieces, each agreed content piece counts toward the number of deliverables stated in the relevant plan.

Unless otherwise agreed, each PR story or content piece includes up to four rounds of revisions.

A content deliverable is deemed completed when it has been drafted and revised in accordance with the agreed scope and either approved by the Client, deemed approved due to lack of timely feedback after reasonable follow-up, or disseminated to relevant media representatives in accordance with standard industry practices.

9. Alpha Echo and AI-Generated Outputs

Alpha Echo and other AI-enabled features may generate content, suggestions, summaries, research, analysis, drafts, workflows, or other outputs.

You are responsible for reviewing, verifying, editing, and approving all outputs before using, publishing, sending, or relying on them.

Outputs may be inaccurate, incomplete, outdated, offensive, duplicated, non-exclusive, or unsuitable for your intended purpose.

Outputs should not be treated as legal, financial, tax, medical, investment, regulatory, or other professional advice.

You are responsible for ensuring that your use of AI-generated or system-generated outputs complies with applicable laws, platform rules, industry standards, and third-party rights.

To the fullest extent permitted by law, we disclaim liability for decisions, publications, communications, claims, losses, or consequences arising from your use of outputs.

10. Fees, Invoices, and Payment

Fees are as stated in the applicable plan, proposal, quotation, payment link, invoice, order form, or written agreement.

Unless otherwise stated, invoices are due within 14 days of the invoice date or immediately where required by the payment page, order form, or proposal.

Payments may be made through Stripe, bank transfer, or another method approved by us. You are responsible for any bank charges, foreign exchange charges, payment processing fees, taxes, withholding obligations, or other payment-related charges unless otherwise agreed.

Where fees are quoted in a foreign currency, exchange rate fluctuations, bank fees, and conversion charges are your responsibility unless otherwise stated.

11. Taxes

Fees are exclusive of applicable taxes unless expressly stated otherwise.

You are responsible for all applicable taxes, duties, levies, withholding taxes, VAT, GST, or similar charges arising from your purchase or use of the services.

If you are required by law to withhold any amount from payment, you must gross up the payment so that Alpha Story receives the full amount invoiced, unless otherwise agreed in writing or prohibited by law.

12. No Refunds

Except where required by applicable law or expressly agreed by Alpha Story in writing, all fees paid are non-refundable.

This includes fees for PR campaigns, subscriptions, strategy work, onboarding, drafting, media outreach, Alpha Echo access, setup, consulting, and any partially used or unused services.

A lack of preferred publication outcome, editorial decision, Client delay, Client change of mind, Client non-responsiveness, unused platform access, or Client refusal to participate in media opportunities does not entitle the Client to a refund.

Nothing in this clause limits any non-excludable consumer rights that may apply under Indonesian law.

13. Out-of-Scope Work and Expenses

Any services outside the agreed scope may be charged separately.

Unless expressly included in the agreed plan, fees exclude third-party vendor costs, event costs, media drop costs, design work, printing, courier fees, transport, travel, photography, videography, paid media, sponsorship fees, venue costs, translation, localization, legal review, crisis communications, and other out-of-pocket expenses.

We may require advance payment before incurring third-party costs or out-of-pocket expenses.

14. Client Materials and User Content

“Client Materials” or “User Content” means all content, documents, data, information, images, logos, brand assets, prompts, files, recordings, testimonials, claims, product information, approvals, and other materials provided by you or on your behalf.

You retain ownership of your Client Materials, subject to the rights granted to us under these Terms.

You grant Alpha Story a worldwide, non-exclusive, royalty-free license to host, store, copy, process, adapt, edit, translate, display, distribute, transmit, disclose, and otherwise use Client Materials as necessary to provide the services, perform campaigns, improve services, comply with law, enforce these Terms, and protect our rights.

You represent and warrant that Client Materials do not infringe third-party rights, violate law, contain unlawful or misleading claims, or breach confidentiality obligations.

15. Approval of Materials

You are responsible for reviewing and approving all press releases, pitches, articles, quotes, statements, social posts, claims, statistics, images, logos, and other materials before publication, submission, or dissemination.

Once you approve materials, you accept responsibility for their accuracy, legality, completeness, substantiation, and suitability.

You agree to indemnify Alpha Story against claims, costs, proceedings, damages, or demands arising from approved materials, Client Materials, factual claims, public statements, or instructions provided by you.

16. Intellectual Property

Alpha Story and its licensors own all rights in our platform, software, systems, technology, processes, workflows, templates, know-how, databases, media lists, analytics, documentation, website, trademarks, logos, trade names, and pre-existing materials.

Subject to your full payment and compliance with these Terms, Alpha Story grants you a limited, non-exclusive, non-transferable license to use final campaign materials prepared specifically for you for your internal business and external communications purposes during and after the campaign, unless a narrower license is stated in the applicable plan or agreement.

Drafts, internal notes, working files, media lists, strategy documents, templates, platform functionality, system prompts, proprietary workflows, and know-how remain the property or confidential materials of Alpha Story unless expressly transferred in writing.

You may not copy, reverse engineer, scrape, decompile, reproduce, sell, sublicense, or exploit any part of our platform, systems, media databases, templates, methods, or technology except as expressly permitted by us.

17. Use of Materials for Training and Promotion

Unless you expressly request otherwise in writing before the start of the campaign and we agree in writing, Alpha Story may use campaign materials, outputs, learnings, non-confidential summaries, public results, logos, testimonials, and published media coverage for internal training, quality improvement, case studies, promotional materials, sales materials, and marketing.

We will not intentionally disclose non-public confidential information in public promotional materials without permission.

18. Publicity

Unless otherwise agreed in writing, you authorize Alpha Story to state that it has worked with you or your company, and to use your company name and logo in client lists, pitch decks, website materials, case studies, and promotional materials.

You may revoke this authorization for future use by giving written notice, but this will not require us to recall materials already distributed or published.

19. Confidentiality

Each party must keep the other party’s Confidential Information confidential and must not disclose it except as permitted by these Terms, required to perform the services, authorized in writing, or required by law.

Confidential Information includes non-public business information, strategy, pricing, campaign details, customer information, sales and marketing data, product plans, technical information, and the commercial terms of any agreement.

Confidential Information does not include information that is publicly available, independently developed, already known without restriction, or lawfully received from a third party.

Nothing in these Terms prevents Alpha Story from using general knowledge, skills, experience, ideas, concepts, know-how, techniques, and general intelligence gained during the engagement, provided we do not disclose your Confidential Information in violation of these Terms.

20. Privacy and Personal Data

Our processing of Personal Data is described in our Privacy Policy.

You agree that you will not provide Personal Data to Alpha Story unless you have given all required notices, obtained all required consents, and established all required legal bases under applicable law.

If you provide Personal Data of employees, founders, customers, users, journalists, partners, or other individuals, you are responsible for ensuring that such disclosure and processing is lawful.

21. Acceptable Use

You must not use our services to:

violate laws or regulations;

infringe intellectual property, privacy, publicity, or contractual rights;

publish or distribute defamatory, misleading, deceptive, unlawful, discriminatory, obscene, hateful, harassing, or harmful content;

impersonate any person or misrepresent your affiliation;

submit malware, viruses, or harmful code;

attempt unauthorized access to our systems or another user’s account;

interfere with service security, availability, or performance;

scrape, crawl, copy, or harvest data without permission;

send spam or unlawful communications;

manipulate media, consumers, investors, or the public through false or deceptive claims;

conduct unlawful surveillance, profiling, or data processing;

use Alpha Echo or our platform to develop a competing product or service without permission; or

otherwise misuse the services.

22. Third-Party Services

Our services may integrate with or rely on third-party platforms, payment processors, hosting providers, AI providers, analytics tools, CRM tools, communication tools, calendar tools, media databases, social platforms, and other third-party services.

We do not control and are not responsible for third-party services, their content, terms, privacy practices, availability, security, or performance.

Your use of third-party services may be subject to separate terms and policies.

23. Service Availability

We aim to provide reliable services, but we do not guarantee uninterrupted, secure, timely, or error-free operation.

We may suspend, limit, modify, or discontinue services for maintenance, upgrades, security, legal compliance, business reasons, force majeure events, third-party provider issues, or misuse.

24. Termination

Unless otherwise stated in the applicable agreement, either party may terminate an ongoing service by giving 30 days’ written notice after the first 30 days of the term.

Alpha Story may terminate or suspend services immediately, without refund, if:

you fail to pay fees when due;

you breach these Terms;

you provide inaccurate, incomplete, misleading, unlawful, or defamatory information;

you fail to provide required materials, approvals, or responses for an unreasonable period;

you act abusively, improperly, or unprofessionally toward Alpha Story personnel, consultants, contractors, partners, or media contacts;

you use derogatory, threatening, harassing, or inappropriate language toward or about Alpha Story or its personnel;

you refuse to acknowledge work completed despite evidence of performance;

you create legal, regulatory, reputational, operational, or security risk;

you request or require us to engage in unlawful, unethical, deceptive, or misleading conduct;

we discover information that materially changes our ability to perform the services, including information affecting the angle, story, deliverables, legality, reputation, or feasibility of the campaign; or

we are required to do so by law or authority.

Upon termination, you must pay all outstanding fees and expenses. Clauses intended to survive termination will continue, including payment, confidentiality, IP, privacy, indemnity, disclaimers, liability limits, and dispute resolution.

25. Disclaimers

To the maximum extent permitted by applicable law, the services are provided “as is” and “as available.”

We disclaim all warranties, representations, and conditions, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and suitability.

We do not guarantee media coverage unless expressly stated in the applicable plan. We do not guarantee business results, revenue, investment, sales, leads, web traffic, public sentiment, search ranking, media sentiment, viral reach, or audience response.

Nothing in these Terms excludes warranties, rights, or remedies that cannot be excluded under applicable law.

26. Limitation of Liability

To the maximum extent permitted by applicable law, Alpha Story / Alpha Echo will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or similar damages, including loss of profits, revenue, contracts, goodwill, data, business opportunity, reputation, or anticipated savings.

Alpha Story / Alpha Echo will not be liable for loss or damage arising from:

Client Materials or instructions;

approved materials;

media decisions or editorial changes;

publication delay, refusal, removal, correction, or non-publication;

third-party platforms, payment processors, hosting providers, AI providers, media outlets, journalists, contractors, or vendors;

your failure to participate in secured media opportunities;

your use of AI-generated outputs;

unauthorized use of your account caused by your failure to protect credentials;

events beyond our reasonable control; or

your breach of these Terms.

To the maximum extent permitted by law, our total aggregate liability arising out of or in connection with the services or these Terms will not exceed the fees actually received by Alpha Story from you for the relevant service giving rise to the claim.

Nothing in these Terms limits liability that cannot be limited under applicable law.

27. Indemnity

You agree to indemnify and hold harmless Alpha Story / Alpha Echo, its affiliates, officers, directors, employees, contractors, consultants, agents, and partners from and against claims, losses, liabilities, damages, costs, and expenses, including legal costs, arising from:

your use of the services;

Client Materials or User Content;

approved materials;

your breach of these Terms;

your breach of law or regulation;

your infringement of third-party rights;

your failure to obtain required consents, permissions, licenses, or legal bases;

claims made by journalists, media outlets, consumers, customers, employees, regulators, competitors, or third parties arising from your materials, instructions, products, services, statements, or campaign; and

your misuse of Alpha Echo, AI-generated outputs, or our platform.

28. Force Majeure

We will not be liable for delay or failure to perform caused by events beyond our reasonable control, including natural disasters, acts of God, epidemic or pandemic events, war, terrorism, civil unrest, labor disputes, internet outages, cyberattacks, power failures, government action, changes in law, platform outages, third-party provider failures, media shutdowns, journalist unavailability, or other events beyond our reasonable control.

29. Changes to Services and Terms

We may update, modify, suspend, or discontinue any part of the services from time to time.

We may update these Terms by posting the revised version on our website or otherwise notifying you. Where required by law, we may seek your consent.

Your continued use of the services after updated Terms become effective means you accept the updated Terms.

30. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Indonesia, to the extent required for electronic contracts, consumer-facing standard terms, users in Indonesia, or services performed in Indonesia.

The parties will first attempt to resolve any dispute through good-faith discussions.

If a dispute cannot be resolved amicably, it will be submitted to the competent courts of Indonesia, unless the parties agree in writing to another lawful dispute resolution mechanism.

For services contracted with Alpha Story Pte. Ltd. outside Indonesia, a separate written agreement may specify Singapore law and Singapore jurisdiction to the extent permitted by applicable Indonesian law.

31. Miscellaneous

If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in effect.

You may not assign your rights or obligations without our prior written consent. We may assign or transfer these Terms in connection with a merger, acquisition, restructuring, financing, sale of assets, or business transfer.

Our failure to enforce any provision is not a waiver of our right to enforce it later.

These Terms, together with the applicable plan, proposal, quotation, order form, invoice, privacy policy, and any written agreement, constitute the entire agreement between you and us regarding the services.
